一、甲方的义务:甲方应该采取所有必须和合适的手段以支持乙方为产品开拓市场所作努力的活动。例如:

2.向乙方提供有关信息。

3.迅速通知和抄送乙方任何从第三方收到的区域内的询价和由第三方在区域内意在同甲方建立联系的任何企图。

4.根据乙方提出的合理要求和甲方安排,甲方可以为乙方的员工提供售前、售中、售后服务培训,以支持乙方区域活动。

5.安排业务熟悉的人员和乙方保持日常的联系,以支持乙方的的活动,就有关商务或技术上的特定问题告知乙方,就有关新产品开发.市场和竞争者的信息通知乙方。

6.甲方有义务为乙方制作和提供能够证明乙方为该区域经销商的证明文件或授权书证。

7.根据乙方的订货量,安排备货和供货。

二、乙方的义务:作为区域经销商,乙方必须采取所有需要和合适的步骤在区域内为产品开发市场,并承担相应的费用。例如:

1.在区域内建立一个为活动服务的经销构架,包括长期的经营场所,雇佣在产品知识和应用方面受训的充足的人员,雇佣技术人员能够根据客户提供的结构图帮助应用设计和协助管道工程,安装设备,提供快速的售后服务。

2.经营性地通过广告、邮递、技术演讲和讨论、展览、论坛和其他可用的合适的方法来促销产品。

3.为感兴趣的人士提供产品信息,如报表、目录、样本、数据、应用情况,区域内外的产品安装参考。

4.完成本协议规定的销售量,向甲方下采购订单,市地级分销商第一次订单不低于_________万元,县市级分销商第一次订单不低于_________万元,并按时提货。

四、区域:所谓区域是指甲方承认乙方销售产品的地区范围。协议双方特别同意如下:

1.在本协议期内,甲方有权检查乙方的活动,同时也有义务指导乙方开发区域市场。

2.乙方未遵从协议条款或在协议期内的任何时间预计不能完成年度销售计划,甲方和乙方应该讨论解决的步骤以使乙方在合理的时间内改善这一状况。如果在规定的时间内还仍旧不能改善的',甲方可以决定作如下选择:

(1)根据协议终止条款终止协议

(2)在区域内再行指定其它的经销商

(3)甲方根据乙方因违反协议给甲方造成的_________品牌或直接经济损失程度,给予保证金扣款,最低为30%,最高为100%

第一条 前言

第二条 名词定义

代收费:甲方利用其电子商务平台,通过各种成熟的收费渠道(如手机短消息收费、电话费、上网费、信用卡、主叫服务、加密电子邮件、物流形式等收取用户费用,代理销售乙方产品的在线 支付系统的代收费行为;

商品:乙方具有该产品合法销售资格或版权授权的作品或产品。形式包括文字、声音、图象、图片、硬件设备、咨询及服务等;

授权区域: 甲方传播所能覆盖的全部地区。

第三条 合作内容

合作内容: 双方结成战略伙伴,乙方提供商品并授权甲方为代理销售商,甲方利用自身平台和渠道帮助 乙方实现销售;

合作形式:乙方按甲方所需提供商品的视听小样或商品图片,在甲方商务平台按甲方分类将样品对号上架。为了更好的将产品信息传达给用户,甲方会通过活动或者多种宣传方式为乙方推广销售代 理商品,相关事宜,双方临时协商并书面许可方可进行;

双方同意:乙方所代理销售的其他所有产品,乙方均有意采用甲方提供的相关在线销售(代收费)系统进行销售或代收费。对于具体的产品合作,由双方通过签署相关的附件加以确定;

双方承诺: 在此合作过程中,充分利用各自的优势(包括产品资源、服务能力、技术能力、市场资源等),共同推广在线娱乐事业的发展,以达到双赢的目的;

第四条 收费与结算

商品定价:乙方提供市场报价,并承诺在甲方销售平台的对外报价不高于乙方在各个销售终端的销售价格。甲方的vip会员优惠或促销活动乙方应在价格上予以支持,双方协定价格至少低于市面价格的10%,或乙方给甲方代理价格低于行业代理5%;

利润分成: 甲方收取销售价格的30%作为利润回报

结算方式: 用户使用甲方交易系统产生商品买卖后的第二个月底,甲方将该商品扣除利润分成后的余额划入乙方帐户。

运输及税务:甲乙双方间相关商品的运输及商品交易税务等杂费(发票)由乙方支付。甲方发送到用户的运输费用,由甲方支付。

第五条 权利与义务

甲方的权利与义务:

1.甲方负责合同既定区域内乙方协议商品的代收费与推广。在乙方无违约行为的情况下,甲方不得无故停止本合同的执行;乙方应确保甲方为合同既定区域内的商品代收费代理销售商。所有甲方 销售终端客户均与甲方联系,依据其制订的价格标准和销售政策交易;

2.甲方应保障代收费款项及时到帐,对由于甲方代收费行为所产生的投诉,纠纷等相关问题,由甲方独立承担全部责任;

3.甲方在与乙方的合作中应严格遵循本合同所规定的代收费方式。

4.甲方应在整个代收费过程中严格遵循乙方所规定的价格策略,如有需要,须双方商议并书面许可。甲方不擅自抬高或降低乙方产品的销售价格;

5.甲方有义务不向任何第三方透露双方协议中的折扣标准,价格标准,销售数量等情况;

6.甲方应利用自身的宣传渠道和其他市场资源、宣传、推广此合作项目;

7.甲方非必要条件下有权不向乙方透露自身客户及销售终端的信息,乙方应维护甲方的权益。

8.甲方不拥有乙方提供商品的版权。

9.甲方保证在其宣传品、网站,正式投放的广告宣传中,如果出现其他资源战略合作伙伴的信息,均在适当位置免费表明,体现乙方作为其战略合作伙伴以及提供商的地位、身份、并从视觉上体现甲方标识。

乙方的权利与义务:

1.乙方负责向甲方提供代理经销权。所有甲方客户与甲方联系,甲方依据乙方制订的价格标准和销售政策拿货;在甲方无重大违约行为的情况下,乙方不得无故停止本合同的执行;

2.乙方将保障协议商品的正常使用、质量、维护、负责按照甲方要求的载体方式传输给甲方并承担全部费用及税务,并对在商品产生的`投诉、纠纷等相关问题自行承担责任;对于客户的投诉,由乙方负责解决并承担全部相关费用。因乙方提供的服务,产品和传输问题所导致的纠纷或赔偿问题,由乙方自行承担全部经济与法律责任,甲方已先期承担责任的,由甲方给予等额补偿;

3.乙方将负责提供相关的客户服务机构,解答使用过程中的疑难问题;

4.乙方提供的商品,不得违反国家有关法令,法规的要求。若有违反,将全权承担由此引起的一切后果;

5.乙方应承诺维护协议中商品定价,经双方协商,甲方书面同意的除外;

6.乙方 负责在约定的期间内取得并提供政府或相关机构颁发的商品商业版权及运营的全部相关许可,并在甲方需要的条件下,协助甲方完成版权证明等相关文件;

7.乙方保证在其宣传品、网站,正式投放的广告宣传中,如果出现其他代理商信息,均在适当位置免费表明,体现甲方作为其战略合作伙伴以及代理商的地位、身份,并从视觉上体现甲方标识;

8.乙方必须保证拥有提供商品的版权或支持此协议的授权,否则由此产生一切后果由乙方负责。

第七条 有效期限

本合同从双方正式签约之日起生效,合同有效期为贰年。期满前三十日内双方均未对本协议提出书面终止意见,则合同自动延期壹年,如任何一方提出修改意见,应在合同期满日前至少一个月提出,并共同商讨相关细节;

第八条 保密条款

1.甲乙双方应共同采取一切必要措施,对双方因通过本次合作而从对方取得的商业秘密采取保密措施,以防止商业秘密被泄露、使用、被公开或落入未经授权人士手中。

2.获取商业秘密的一方(下称“获取方”)不得将从提供商业秘密的一方(“提供方”)处所获得的商业秘密在未获得提供方授权,或本合同许可的情况下,进行部分或全部复制或复印;在本合同终止后将商业秘密悉数返还提供方,或在取得提供方书面同意的情况下,将商业秘密销毁。

3.获取方应只在本合同规定范围内对商业秘密进行使用。并且,获取方已促成或将促成其被告知商业秘密的雇员和顾问签署内容实质与本合同本条规定相类似的保密合同。

4.双方同意对本次合作涉及的所有销量,结算价格,以及其他的敏感信息,应严格保守秘密,如因某一方的责任导致上述信息泻露,责任方应承担相应的赔偿责任。

1.乙方为签订、履行本合同已对该产品及甲方与本合同有关的信息、资料进行了充分调查了解,并在此基础上结合自身实际情况对该产品的市场前景作出预测,且愿意承担本合同约定的一切责任、风险。

2.甲方于本合同有效期内在_______________地区(以下简称“本地区”)将只向乙方销售该产品,而不向本地区任何第三人销售该产品。

5.双方的权利和义务

5.1甲方的权利和义务:

8.不可抗力:因地震、火灾等自然灾害、战争、停电、政府行为等造成双方不能履行本合同义务,一方通过书面的形式通知对方,双方应该友好协商解决。

9.争议解决:在合同执行期间如果双方发生争议,双方应友好协商解决。如果协商不成,双方同意提交仲裁委员会进行仲裁或向人民法院起诉都可以。

10.附则:本合同一式两份,双方各执一份,经盖章后生效,两份合同具有同等效力。如有未尽事宜,双方应在本协议达成的原则基础上以补充条款的方式达成共识,补充条款与本协议具有同等的法律效力。
